Item 8.01. Other Events

 

On March 27, 2012, Southern Community Financial Corporation (Nasdaq: SCMF for the common stock and SCMFO for the trust preferred securities) announced the execution of a definitive agreement (the “Agreement”), with Capital Bank Financial Corp. (“CBF”), dated March 26, 2012, whereby CBF has agreed to acquire Southern Community for a combination of cash and stock and other contingent consideration.

 

A joint press release describing this event was issued by Southern Community and CBF on March 27, 2012. The press release is included as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.

 

 

Additional Information About this Transaction

 

In connection with the proposed transaction, Capital Bank Financial Corp. (“CBF”) intends to file with the SEC a Registration Statement on Form S-4 that will include a proxy statement of Southern Community Financial Corporation (“SCMF”) and that also constitutes a prospectus of CBF. CBF and SCMF also plan to file other relevant documents with the SEC regarding the proposed transaction.
