On March 13, 2012, the Compensation Oversight Committee of the Board of Directors of Pacific Capital Bancorp amended the 2012 Annual Incentive Plan (the “Plan”) to eliminate a provision that would provide each Plan participant with the right to make an irrevocable election to receive an incentive award in deferred stock.
The Plan, as amended, is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
