Explanatory Note
This Current Report on Form 8-K/A is being filed as an amendment ("Amendment No. 1") to the Current Report on Form 8-K filed by Core-Mark Holding Company, Inc. with the Securities and Exchange Commission on January 24, 2012 (the "Original Filing"). The sole purpose of Amendment No. 1 is to update exhibit 10.3 and add exhibit 10.4.
