Entry into a Material Definitive Agreement.

On January 6, 2012, the Company executed employment agreements with Michael P. Landy, Chief Operating Officer and Maureen E. Vecere, Chief Financial and Accounting Officer.  These agreements are effective beginning January 1, 2012.
