(b) (e)   On December 22, 2011, Vilia Valentine, Vice President – Finance, Corporate Controller and Chief Accounting Officer, informed M.D.C. Holdings, Inc. (the “Company”) that she was resigning as an employee of the Company effective as of January 4, 2012. The Company has agreed to retain Ms. Valentine, on a consulting basis, to continue to serve as the Company’s principal financial officer and principal accounting officer through the date the Company files its Form 10-K for the year ending December 31, 2011, which is anticipated to occur on or about February 2, 2012. Ms. Valentine will continue to be compensated during the time she serves as a consultant at the same rate as her current salary and will be eligible for an $80,000 bonus for 2011 to be paid at the conclusion of her services.
