Item 1.01 Entry into a Material Definitive Agreement

On November 23, 2011, Atwood Oceanics, Inc., as guarantor, and Atwood Offshore Worldwide Limited, as borrower, entered into an amendment to the Credit Agreement, dated as of May 6, 2011, with the lenders named therein, with Nordea Bank Finland plc, New York Branch, as Administrative Agent for the lenders, Lead Arranger and Book Runner, to facilitate incurrences of debt at the parent company level in order to effect the company’s intent at the time of execution of the credit agreement that the company could incur debt at that level subject to pro forma compliance with the financial covenants contained in the credit agreement.
