This Form 8-K/A amends and supplements the registrant’s Form 8-K, as filed on September 12, 2011, to include the historical financial statements and pro forma financial information required by Item 9.01(a) and (b).

Item 9.01 — Financial Statements and Exhibits.

(a) Financial statements of businesses acquired.

800 Canal Street Limited Partnership contributed its assets to CWI-HRI French Quarter Hotel Property, LLC, in which the registrant acquired an 80% interest. The 800 Canal Street Limited Partnership consolidated financial statements and independent auditor’s report as of and for the years ended December 31, 2010 and 2009 are attached as Exhibit 99.1 hereto and are incorporated by reference herein. In addition, the consolidated financial statements and independent accountant’s review report as of and for the periods ended June 30, 2011 and 2010 are attached as Exhibit 99.2 hereto and are incorporated by reference herein.
