EXPLANATORY NOTE
The sole purpose of this Amendment No. 1 to Terrace Ventures Inc. Quarterly Report on Form 10-Q for the quarter ended July 31, 2011, filed with the Securities and Exchange Commission on September 19, 2011 (the “Original Form 10-Q”), is to furnish Exhibit 101 in accordance with Rule 405 of Regulation S-T. Exhibit 101 to this report provides the financial statements and notes to the financial statements contained in the Form 10-Q formatted in XBRL (eXtensible Business Reporting Language).
Except as described above, Amendment No. 1 does not modify, amend or update the disclosure made in the Original Form 10-Q.
