EXPLANATORY COMMENT
This purpose of this amendment on Form 8-K/A (the “Amendment”) is to correct certain disclosures contained in Item 5.02 of the Current Report on Form 8-K for Global Indemnity plc, as initially filed with the Securities and Exchange Commission (“SEC”) on September 15, 2011 (the “Original Report”).
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 19, 2011, Cynthia Valko will succeed Larry Frakes as Chief Executive and as a Director.
