Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
On August 2, 2011, pursuant to the approval of the Compensation Committee of the Company’s Board of Directors, the Company entered into amendments to extend the terms of existing employment agreements with each of (i) Mark A. Varney, Ph.D., the Company’s President and Chief Executive Officer, through August 13, 2014, and (ii) Roger G. Stoll, Ph.D., the Company’s Executive Chairman, through August 13, 2012. Copies of the amendments are attached hereto as Exhibits 10.123 and 10.124, respectively, and are incorporated herein by reference.
