Item 2.02.   Results of Operations and Financial Condition.
On August 4, 2011, American Reprographics Company (the “Company”) issued a press release reporting its financial results for the second quarter of 2011. A copy of the press release is furnished as Exhibit 99.1.
The information contained in Item 2.02 of this Current Report on Form 8-K, including Exhibit 99.1 attached hereto, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
Item 2.06.   Material Impairments.
The Company monitors the recovery of goodwill annually as of September 30 and on an interim basis if events or changes in circumstances indicate that the carrying amount may not be recoverable. Based on a combination of factors during the second quarter of fiscal year 2011, including the Company’s financial results, the Company conducted an interim goodwill impairment analysis under Accounting Standards Codification 350 (formerly Statement of Financial Accounting Standards No. 142). On August 1, 2011, the Company determined that it will incur a goodwill impairment charge for the second quarter of fiscal year 2011 in the amount of $23.3 million. The Company will not be required to make any current or future cash expenditures as a result of the goodwill impairment charge. The goodwill impairment charge will be reflected in the Company’s unaudited financial statements as of and for the second quarter ended June 30, 2011.
