(b)           On May 25, 2011, Mr. John J. Byrne resigned from his position as a member of the Board of Directors of Overstock.com, Inc. (the “Company”) for personal health reasons.  Mr. Byrne’s resignation is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
