(b) On May 3, 2011 Nicholas Hart resigned as Vice President of Strategy and Development of
Emisphere Technologies, Inc. (the “Company”), effective May 6, 2011. No disagreement existed
between Mr. Hart and the Company that resulted in his resignation.
