Item 8.01 Other Events.
On April 12, 2011, NorthWestern Corporation d/b/a NorthWestern Energy (NYSE: NWE) (the “Company”) issued a press release announcing that, on April 8, 2011, the Company signed an asset purchase agreement to purchase a projected aggregate nameplate capacity 40-megawatt wind project in Judith Basin County in Montana to be developed and constructed by Spion Kop Wind, LLC, a wholly-owned subsidiary of Compass Wind, LLC. The press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
