Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 5, 2011, Mr. Oliver D. Kingsley, Jr., a current member of the Board of Directors (the “Board”) of The Babcock & Wilcox Company (“B&W”), notified B&W and the Board of his decision not to stand for re-election at B&W’s 2011 annual meeting of stockholders due to health and other personal reasons. Mr. Kingsley is a Class I director, whose term of office is set to expire at this year’s annual meeting. He joined the Board July 2010 in connection with B&W’s spin-off from McDermott International, Inc., where he served as a director for six years.
