Item 7.01. Regulation FD Disclosure.
On September 15, 2010, FARO Technologies, Inc. (the “Company”) issued a press release announcing the creation of the Innovative Solutions Network, a marketing, sales and support collaboration in North America with Carl Zeiss Industrial Metrology. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
The information furnished pursuant to Item 7.01 and Exhibit 99.1 of this Current Report on Form 8-K shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. Item 8.01. Other Events.
On September 15, 2010, the Company entered into a Joint Marketing and Sales Agreement (the “JMSA”) with Carl Zeiss IMT Corporation. A copy of the JMSA is filed as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.
