On June 1, 2010, Encore Bancshares, Inc. (the “Company”) issued a press release announcing the closing of the disposition of certain assets and transfer of certain liabilities associated with Encore Bank, N.A.’s, a national banking association and wholly owned subsidiary of the Company, two private client offices in Clearwater and Belleair Bluffs, Florida. A copy of the Company’s press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
