Item 8.01 Other Events.
On March 31, 2010, Macquarie Infrastructure Company LLC issued a press release related to the issuance of LLC interests to its manager, Macquarie Infrastructure Management (USA) Inc. upon its reinvestment of base management fees. A copy of the press release is attached as Exhibit 99.1 hereto.
