Item 2.02. Results of Operations and Financial Condition.
On March 15, 2010, BancorpSouth, Inc. (the “Company”) issued a press release announcing the
filing of its Annual Report on Form 10-K and the revision of its previously reported financial
results for the periods ended December 31, 2009, a copy of which is furnished as Exhibit 99.1 to
this Current Report on Form 8-K and incorporated herein by reference in its entirety.

The Company will conduct a conference call at 8:00 a.m. (Central Time) on March 16, 2010 to
discuss the revision of its previously reported financial results for the periods ended December
31, 2009. A copy of the presentation to be used for the conference call is furnished as Exhibit
99.2 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
