Explanatory Note

 

This Current Report on Form 8-K/A (this “Amendment”) is being filed as an amendment to the Current Report on Form 8-K, filed on August 2, 2021 (the “Original Report”). This Amendment amends the Original Report solely to correct the date referenced under Item 7.01 relating to the issuance of the Company’s press release announcing the closing of its public offering.

 

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On July 29, 2021, the Board of Directors (the “Board”) of Minim, Inc. (the “Company”) approved a cash bonus payment to Nicole Zheng, the Company’s President and Chief Marketing Officer, for the Company’s performance in the first half of 2021 in the amount of $32,705.50.

 

Item 7.01 Regulation FD.

 

On August 2, 2021, the Company issued a press release announcing the closing of its public offering. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
