Item 1.01          Entry into a Material Definitive Agreement.

On July 12, 2021 (the “Effective Date”), Convey Health Solutions, Inc., a Delaware corporation (the “Company”) and an indirect wholly-owned subsidiary of Convey Holding Parent, Inc., entered into Amendment No. 4 (“Amendment No. 4”), by and among the Company, as borrower, Ares Capital Corporation, as administrative agent and collateral agent (the “Administrative Agent”), and the term lenders party thereto, to the First Lien Credit Agreement, dated as of September 4, 2019, as amended to the date hereof (the “Credit Agreement”).

Amendment No. 4 amends the Credit Agreement to provide for, among other things, (i) the reduction of the Applicable Rate (as defined in the Credit Agreement) for Eurodollar Rate Loans (as defined in the Credit Agreement) from 5.25% to 4.75% and, for Base Rate Loans (as defined in the Credit Agreement), from 4.25% to 3.75%, and (ii) the reduction of the floor for the Eurodollar Rate (as defined in the Credit Agreement) from 1.00% to 0.75% for the Closing Date Term Loans (as defined in the Credit Agreement).

Except as described above, all of the other material terms of the Credit Agreement remain unchanged and in full force and effect.
