Item 5.02 Appointment of Certain Officers.

Effective June 8, 2021, the board of directors (the “Board”) of the registrant (the “Company”) elected Zach Swarts to serve as the treasurer of the Company. Mr. Swarts is currently serving as the chief financial officer of the Company. His resume is on page 84 of the Company’s Form 10-K filed with the SEC on August 28, 2020.

Also effective June 8, 2021, the Board confirmed the appointment of Gary R. Henrie as the secretary of the Company. Mr. Henrie is an attorney licensed to practice law in the State of Utah since 1987 and in the State of Nevada since 2003. Mr. Henrie was appointed an officer of the United State Supreme Court by the United States Supreme Court in June, 2014. Mr. Henrie has served as legal counsel to public companies for the past 32 years and has been securities counsel for the Company since 2014.
