Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 31, 2021, Lasha Morbedadze resigned as a director and as an officer of our company. Mr. Morbedadze’s resignation was not the result of a disagreement between Mr. Morbedadze and our company on any matter relating to our company's operations, policies or practices. On March 31, 2021 Mirsad Devic was appointed as a director to replace Mr. Morbedadze and he was also appointed President, Chief Executive Officer, Chief Financial Officer, Secretary and Treasurer of our company.

 

Mr. Devic, age 44,  began working in the advertising space in 1997 at Planetactive and planned campaigns for Nike, Intel, Deutsche Telekom, AOL, Citibank and Nike. He then continued his career by moving into the biotech industry and working as CMO for Diagenics AG, a Germany-based biopharmaceutical company specializing in the development and production of diagnostic tools and biomarkers for the early detection of heart disease.

 

There are no family relationship between Mr. Devic and any director or executive officer of our company and no related party transactions required to be reported under Item 404(a) of Regulation S-K.
