 Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.

 

Instead of restating its balance sheet as of February 8, 2021 to reflect the correction in accounting treatment in an amendment on Form 8-K, Novus Capital Corporation II (the “Company”) included a restated balance sheet as of February 8, 2021 in Note 2 to Notes to Financial Statements in its Quarterly Report on Form 10-Q for the three months ended March 31, 2021. The restated balance sheet reflects the change in accounting treatment of the Company’s public warrants and private warrants issued in connection with its initial public offering in February 2021 (which were previously recorded as a component of equity on the balance sheet) as liabilities measured at fair value upon issuance, with subsequent changes in fair value reported in the statement of operations for subsequent reporting periods.
