Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 18, 2021, Inuvo, Inc. (“Inuvo”) was notified by Don Walker “Trey” Barrett, III, that effective May 31, 2021 he would resign his position as Chief Operating Officer of Inuvo, in order to become Chief Executive Officer of a new division of Source Digital, Inc. Inuvo has promoted two long term employees who will each report directly to Richard Howe, Chairman and Chief Executive Officer. Amir Bakhshaie, formerly Vice President – IntentKey, has been promoted to Senior Vice President – IntentKey and Dana Robbins, formerly Vice President – ValidClick, has been promoted to Senior Vice President – ValidClick.
