Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 11, 2021 the Board of Directors (the “Board”) of Splash Beverage Group, Inc. (the “Company”) appointed Candace Crawford as a member of the Board. Ms. Crawford will begin serving on the board on May 24, 2021.

Ms. Crawford is a senior executive and entrepreneur with more than 30 years of success across the food and beverage, consumer products, manufacturing, retail, and commercial real estate industries. Her broad areas of expertise include strategic planning, growth and growing businesses, financial acumen, P&L, operations, and governance.

 

In consideration for her services as a director, and subject to Board approval, Ms. Crawford will be granted an option to purchase 1,000,000, shares of the Company’s common stock at an exercise price $1.00. The options will vest as follows: 333,334 upon the execution of the board of directors’ agreement between Ms. Crawford and the Company and 27,777 options will be issued monthly for 24 months. Ms. Crawford will also be paid $1,000 per board meeting and $1,000 per month commencing if the Company receives additional funding.

 

 Ms. Crawford does not have a family relationship with any of the executive officers or directors of the Company. There are no arrangements or understandings between Ms. Crawford and any other persons pursuant to which she was selected as a director, and there are no transactions in which she has an interest requiring disclosure under Item 404(a) of Regulation S-K.
