Item 7.01 Regulation FD Disclosure.

 

On May 11, 2021, The Hillman Companies, Inc. issued a press release announcing its financial results for the first quarter ended March 27, 2021. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated by reference hereby.

 

Landcadia Holdings III, Inc. (“Landcadia”) is furnishing the information in this Item 7.01 and Exhibit 99.1 in connection with the previously announced business combination (the “Business Combination”) between Landcadia and HMAN Group Holdings Inc. (“Hillman Holdco” and, together with its direct and indirect subsidiaries, “Hillman”).

In connection with the proposed Business Combination, Landcadia has filed a registration statement on Form S-4 (File No. 333-252693) (the “Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”), which includes a proxy statement/prospectus and certain other related documents, that will be both the proxy statement to be distributed to holders of Landcadia’s common stock in connection with its solicitation of proxies for the vote by Landcadia’s stockholders with respect to the proposed Business Combination and other matters as may be described in the Registration Statement, as well as the prospectus relating to the offer and sale of the securities to be issued in the Business Combination.
