Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective May 11, 2021, David Corsaut will assume the role and responsibilities as the Principal Financial Officer of American Battery Metals Corporation (the “Company”). There are no arrangements or understandings between Mr. Corsaut and any other persons pursuant to which Mr. Corsaut was appointed Principal Financial Officer of the Company.

 

Mr. Corsaut will receive compensation in accordance with the employment agreement by and between the Company and Mr. Corsaut, filed with the Securities and Exchange Commission as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed January 5, 2021. Mr. Corsaut has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

 

Effective May 11, 2021, Douglas Cole will resign as Chief Financial Officer of the Company and remain the Company’s Chief Executive Officer.
