Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 20, 2021, Mark S. Shearman notified Applied Genetic Technologies Corporation (the “Company”) of his resignation as chief scientific officer of the Company, effective immediately. We thank Dr. Shearman for his years of service and many contributions to the success of the Company.

In connection with this management change, the Company issued a press release on April 26, 2021, a copy of which is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
