Item 8.01. Other Events.

 


On March 21, 2021, CTI Holdings, Inc.(“CTI”) entered into a trading plan in accordance with Rule 10b5-1 of the Securities Exchange act of 1934, as amended (the “Plan”) for trading 70,000 shares of common stock of the registrant INmune Bio Inc., a Nevada corporation (the “Company”), or approximately 42% of the shares of the common stock of the Company owned by CTI. The Plan commences on March 22, 2021 and terminates on March 22, 2023. Tim Schroeder is the majority shareholder of CTI Holdings, Inc. and is a member of the board of directors of the Company.

 

Rule 10b5-1 plans permit corporate officers, directors and others to adopt written, prearranged stock trading plans when they are not in possession of material, non-public information. Using these plans, insiders may, consistent with their personal asset diversification and tax planning strategies, exercise pre-determined stock options and/or buy and sell a pre-determined number of shares of the Company’s stock over a period of time, regardless of whether the insiders become aware of material, non-public information after adopting the plans.

 

Transactions made under the Plan will be reported to the Securities and Exchange Commission in accordance with applicable securities laws, rules and regulations. Except as so required, the Company does not undertake any obligation to update or report any modification, termination, or other activity under the Plan or any plan that may be adopted by other Officers or directors of the Company.
