Item 1.01 Entry into a Material Definitive Agreement.

On March 14, 2021, Motorsport Games Inc., a Delaware corporation (the “Company”), entered into a share exchange agreement (the “Exchange Agreement”) with Ascend FS, Inc., a British Columbia corporation (“Ascend”).

Pursuant to the Exchange Agreement, the Company and Ascend, a minority stockholder in 704Games Company, a Delaware corporation (“704Games”), agreed that the Company will acquire 41,204 shares of common stock of 704Games owned by Ascend, which represents 10.15% of the outstanding common stock of 704Games, in exchange for (i) 488,722 newly issued shares of Class A common stock of the Company (“Company Common Stock”) (representing approximately 4.5% of the currently outstanding shares of Company Common Stock) and (ii) cash in an amount to be determined based on the share price of the Company Common Stock over the last 10 trading days of March of 2021. Based on the closing price of Company Common Stock on March 12, 2021, the total transaction with Ascend for shares of Company Common Stock and cash is valued at approximately $14.6 million.

The restricted shares of Company Common Stock are issuable to Ascend at closing of the transaction under the Exchange Agreement under an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), in reliance upon the exemption from securities registration afforded by Rule 506(b) of Regulation D as promulgated by the United States Securities and Exchange Commission under the Securities Act.

As previously disclosed in the Company’s current report on Form 8-K, filed with the U.S. Securities and Exchange Commission on March 12, 2021, the Company and PlayFast Games, LLC, another minority stockholder of 704Games, entered into a share exchange agreement, dated March 11, 2021, pursuant to which the Company will acquire 30,903 shares of common stock of 704Games owned by PlayFast for the same per share consideration, which represents approximately 7.6% of the outstanding common stock of 704Games (the “PlayFast Exchange Agreement”).

Upon closing of the transaction under the Exchange Agreement and the PlayFast Exchange Agreement, the Company would increase its ownership interest in 704Games from approximately 82.2% to 100%. The transaction is subject to customary conditions to closing, including the receipt of necessary third-party approvals.

Under both the Exchange Agreement and the PlayFast Exchange Agreement, the Company and its affiliates, without admitting any liability by any party, will be released from all claims that Ascend or PlayFast Games, LLC could allege or assert against the Company as minority stockholders of 704Games. Pursuant to the Exchange Agreement, the derivative legal action commenced by Ascend against the Company and certain of its affiliates will be dismissed with prejudice upon the closing of the transaction with Ascend. The closing of the transactions under both the Exchange Agreement and the PlayFast Exchange Agreement are expected to be completed on April 1, 2021.

The foregoing description of the Exchange Agreement does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the Exchange Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
