Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

 

(b)     On March 8, 2021, Kathleen “Kitty” Iverson, a member of the Board of Directors (the “Board”) of Nortech Systems, Incorporated (the “Company”), notified the Board that she would not stand for re-election as a member of the Board for the 2021-2022 period. Ms. Iverson's term as a director and member of the Audit Committee, Compensation and Talent Committee and Nominating and Corporate Governance Committee will end at the conclusion of the annual meeting of shareholders of the Company on May 13, 2021. Ms. Iverson's decision was for personal reasons and not the result of any disagreement with the Company. Ms. Iverson currently serves as the Company’s Audit Committee Chair and will be replaced in that role by Philip I. Smith, a director of the Company.
