Item 7.01. Regulation FD Disclosure

On February 25, 2021, the Company issued a press release announcing its financing facility agreements with QPRC Finance LLC, its agreement with Intellectual Partners LLC (“Intellectual Partners”) to extinguish the notes due to and restructure its agreements with Intellection Partners as successor to United Wireless Holdings, Inc., the appointment of a new director, the entry into consulting contracts with three consultants, the grant of restricted stock and options to the Company’s directors and the consultants, the scheduling of a conference call on March 2, 2021 and information relating to access to the conference call.
