All of the Notes are to be sold by the Company as described in the Registration Statement, the Prospectus and the Prospectus Supplement.
The Notes will be issued pursuant to an indenture, dated October 23, 2017 (the “Base Indenture”), between the Company and U.S. Bank National Association, as trustee (the “Trustee”), as supplemented by a third supplemental indenture, dated December 29, 2020 (the “Third Supplemental Indenture”, and together with the Base Indenture, the “Indenture”), between the Company and the Trustee, which Third Supplemental Indenture was filed by the Company with the Commission as an exhibit to the Current Report on Form 8-K on December 29, 2020.

We hereby consent to the filing of this opinion letter with the Commission as an exhibit to the Current Report on Form 8-K, to be filed with the Commission on the date hereof, and to the reference to our firm in the “Legal Matters” section in the Registration Statement and related Prospectus and Prospectus Supplement.
