Item 7.01 Regulation FD Disclosure
As previously reported on a Current Report on Form 8-K of Harbor Custom Development, Inc. ( the “Company”) dated January 15, 2021, on such date, the Company closed a public offering (the “Offering”) of an aggregate of 8,000,000 shares of common stock, no par value (the “Common Stock”) at a public offering price of $3.00 per share. In addition, the Company granted ThinkEquity, a division of Fordham Financial Management, Inc. (the “Underwriter”) an over-allotment option to purchase up to an additional 1,200,000 shares of Common Stock at a public offering price of $3.00 per share (the “Overallotment Option”).
On January 19, 2021, the Underwriter exercised in full the Overallotment Option. The Underwriter’s exercise of the Overallotment Option closed on January 20, 2021, resulting in gross proceeds of approximately $3,600,000 to the Company.
The information furnished pursuant to this Item 7.01, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Item 8.01 Other Events.
On January 20, 2021, the Company issued a press release announcing that it contracted to acquire 64 developed lots in the Darkhorse Golf Course community in Auburn, California for $9,143,700.
The Company anticipates commencing construction at the Darkhorse Golf Club of four and five bedroom luxury homes priced from $900,000 to $1,200,000 beginning in the second quarter of 2021.
