Item 2.02. Results of Operations and Financial Condition.
On January 11, 2021, Sotera Health Company (“Sotera Health”) issued a press release announcing unaudited, preliminary fourth-quarter and full-year 2020 financial results (the “Press Release”). A copy of the Press Release is filed as Exhibit 99.1.
Item 7.01. Regulation FD Disclosure.
Sotera Health plans to seek an amendment to its existing credit agreement with the objective of obtaining more favorable pricing on its term loan facility. There can be no assurance that Sotera Health will be successful in obtaining such an amendment, which will depend on market conditions and other factors which are subject to change.
