Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective November 25, 2020, the board of directors (the “Board”) of CF Finance Acquisition Corp. II, a Delaware corporation (the “Company”) elected Charlotte Blechman as a Class II director of the Company. The Board has determined that Ms. Blechman qualifies as an independent director under rules of the Nasdaq Capital Market. The Board also elected Ms. Blechman to serve on the audit committee and compensation committee of the Company, replacing the non-independent member of each committee prior to her election.

 

Ms. Blechman has extensive executive and management experience in marketing, public relations, visual merchandising, branding, digital and social marketing, advertising and communications. Ms. Blechman has served as Chief Marketing Officer of Tom Ford Retail LLC since January 2017 where she oversees various departments. She is responsible for all global marketing, communications, advertising, public relations, visual display, customer relationship management, digital marketing, events, and global marketing initiatives. From 2011 to 2017, Ms. Blechman served as Executive Vice-President of Marketing and Communication at Barneys New York. Prior to that, Ms. Blechman served as Gucci America’s Vice President of Public Relations and Special Events, also overseeing Worldwide Celebrity Relations. She also served as Vice President of Public Relations for Yves Saint Laurent. No family relationships exist between Ms. Blechman and any other directors or executive officers of the Company. There are no arrangements between Ms. Blechman and any other person pursuant to which Ms. Blechman was nominated as a director of the Company. There are no transactions to which the Company is or was a participant and in which Ms. Blechman has a material interest subject to disclosure under Item 404(a) of Regulation S-K.
