Item 1.01 Entry into a Material Definitive Agreement

        On February 22, 2019, DenizBank A.S. (the “Lender”) entered into a $20 million term loan (the “2019 Term Loan”) with TransAtlantic Exploration Mediterranean International Pty Ltd (“TEMI”), a subsidiary of TransAtlantic Petroleum Ltd., under a credit agreement.

        On November 20, 2020, the Lender and TEMI reduced the interest rate on the 2019 Term Loan to a fixed rate of 6.25% (plus 0.375% for Banking and Insurance Transactions Tax per the Turkish government) per annum. In addition, the Lender and TEMI revised the amortization schedule under the 2019 Term Loan as follows.  The remaining principal on the 2019 Term Loan is now payable in four monthly installments of approximately $500,000 each from November 27, 2020 to February 26, 2021 and 10 monthly installments of approximately $650,000 each from March 29, 2021 to December 28, 2021.  Interest on the 2019 Term Loan is payable monthly. Amounts repaid under the 2019 Term Loan may not be re-borrowed, and early repayments under the 2019 Term Loan are subject to early repayment fees.
