Item 1.01. Entry into a Material Definitive Agreement.

On November 17, 2020, Morgan Stanley Direct Lending Fund (the “Company”) entered into an amendment (the “Second Amendment”) to that certain Credit Agreement (the “CIBC Subscription Facility”), dated as of December 31, 2019, as amended from time to time, by and among the Company, CIBC Bank USA, as administrative agent and arranger, and the financial institutions party thereto, as lenders. The Second Amendment, among other things, increased the borrowing capacity under the CIBC Subscription Facility from $325 million to $400 million and made certain adjustments to the borrowing base calculation. All other material terms of the CIBC Subscription Facility remain unchanged.
