Item 5.02 Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective November 13, 2020, Mr. Joseph P. Macaluso is resigning as Principal Accounting Officer of Tel-Instrument Electronics Corp. (the “Company”). The resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company has entered into a consulting agreement with Mr. Macaluso, pursuant to which Mr. Macaluso would perform, on an as-needed basis, certain advisory services for the Company.
