On September 30, 2020, Nicholas Florio, a member of the Board of Directors of Recruiter.com Group, Inc. (the “Company”) and the Chairman of the Audit Committee thereof, notified the Company of his intention to retire from the Company's Board of Directors for personal reasons, effective immediately. Mr. Florio did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices. Effective September 30, 2020, Wallace Ruiz, a member of the Company's Board of Directors, will serve as the Chairman of the Audit Committee of the Board of Directors. Effective upon Mr. Florio's resignation as a director, the size of the Company's Board of Directors will be reduced from seven to six directors.
