EXPLANATORY NOTE

This Amendment No. 2 to the Current Report on Form 8-K (the “Form 8-K”), originally filed by Elite Pharmaceuticals, Inc. with the Securities and Exchange Commission (the “Commission”) on August 5, 2013, and amended by Amendment No. 1 which was filed with the Commission on August 30, 2018, is being filed solely for the purposes of replacing Exhibit 10.1 with a new agreement that contains no redactions.

Except as described above, No other changes have been made to the Form 8-K or amendment No. 1 thereto. This Amendment No. 2 does not otherwise amend, change, modify or update the disclosures set forth in the Form 8-K as originally filed and does not otherwise reflect events, results or developments that may have occurred, or facts that have become known, after the original filing of the Form 8-K. Accordingly, this Amendment No. 2 consists only of the cover page, this Explanatory Note, Item 901 of the Form 8-K and the Signature Page.
