ITEM 7.01 Regulation FD Disclosure.
On 13 July 2020 Data443 Risk Mitigation, Inc. (the “Company”) issued a press release (the “Press Release”) announcing, among other things, the completion of all payments due under the purchase transaction described in Item 8.01, below. A copy of the Press Release is attached hereto as Exhibit 99.1 and incorporated herein by this reference.
ITEM 8.01 Other Events.
As previously first reported by the Company in its Form 10 filed on 11 January 2019, on or around 22 October 2018 the Company closed an acquisition under which it acquired from Modevity, LLC (“Modevity”) an enterprise cloud-based data storage, protection, and workflow automation platform known as ARALOC™. The Company has now remitted to Modevity all amounts due under the purchase transaction and owes no further amounts or any other consideration to Modevity.
