Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 4, 2020, the Compensation Committee of the Board of Directors of GigCapital2, Inc., a Delaware corporation (the “Company”), approved an Amended and Restated Strategic Services Agreement (the “Amended Strategic Services Agreement”) with Walter “Brad” Weightman, the Company’s Vice President and Chief Financial Officer. The Amended Strategic Services Agreement is effective as of June 30, 2020 and provides that Mr. Weightman will be compensated at a rate not to exceed $10,0000 per month rather than at $10,000 per month as provided for in the prior version of the Strategic Services Agreement. A copy of the Amended Strategic Services Agreement is filed as Exhibit 10.1 hereto and incorporated herein by reference.
