Item 7.01.  Regulation FD Disclosure.

On July 2, 2020, Northern Oil and Gas, Inc. issued a press release announcing the commencement of a consent solicitation (the “Consent Solicitation”) to solicit the consent of holders of its outstanding 8.50% Senior Secured Second Lien Notes due 2023 (the “Senior Secured Notes”) to amend the indenture governing the Senior Secured Notes. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
