Item 8.01. Other Events.

On July 1, 2020, Kearny Financial Corp. (“Kearny”) and MSB Financial Corp. (“MSB”) issued a joint press release to announce that they expect their proposed merger transaction will be completed after the market closes on July 10, 2020. In addition, the parties to the merger announced the results of MSB’s shareholder elections. A copy of the press release is filed herewith as Exhibit 99.1, and is incorporated in its entirety by reference herein.
