Item 5.07 Submission of Matters to a Vote of Security Holders.

 

On June 23, 2020, certain holders of the Series AA Convertible Preferred Stock (the “Acting Shareholders”) of the FaceBank Group, Inc., a Florida corporation (the “Company”), acting by written consent pursuant to Section 607.0704 of the Florida Business Corporation Act, approved a waiver of certain anti-dilution rights under the Certificate of Designation of Series AA Convertible Preferred Stock of the Company in connection with the sale and issuance of shares of the Company’s capital stock and/or warrants, options or other rights to acquire such capital stock in an unregistered offering with an aggregate purchase price up to $250 million on or prior to October 31, 2020. As of the date of such approval such date, the Acting Shareholders collectively held 16,681,852 shares, or 56.35%, of the Company’s outstanding shares of Series AA Convertible Preferred Stock.
