Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On June 24, 2020, Matthew T. McClane notified Kearny Financial Corp. (the “Company”) of his retirement and resignation from the Board of Directors of the Company and Kearny Bank (the “Bank”) effective June 30, 2020.
 
Mr. McClane indicated that his retirement and resignation is not in connection with any disagreement with the Company or the Bank. 
 
The Company will reduce the size of its Board of Directors from 13 to 12 members effective with Mr. McClane’s retirement and resignation, effective June 30, 2020.
