Item 1.01

Entry into a Material Definitive Agreement.

 

On June 23, 2020, Avinger, Inc. (the “Company” or “Avinger”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Aegis Capital Corp., as representative of the underwriters identified therein (collectively, the “Underwriters”), pursuant to which the Company agreed to issue and sell 20,000,000 shares of common stock, $0.001 par value per share, at a public offering price of $0.27 per share (the “Offering”). Under the terms of the Underwriting Agreement, Avinger granted the Underwriters a 45-day option to purchase up to an additional 3,000,000 shares of common stock solely to cover over-allotments, if any. Avinger expects to receive approximately $4.7 million in net proceeds from the Offering (excluding the over-allotment option), after deducting underwriting discounts and commissions and estimated offering expenses. The shares are being offered and sold pursuant to the Company’s effective registration statement on Form S-1 (Registration No. 333-239177), as amended by an Amendment No. 1 to the registration statement on June 22, 2020, and a related registration statement on Form S-1 (File No. 333-239398) filed pursuant to rule 462(b) of the Securities Act on June 23, 2020, which were declared effective by the Securities Exchange Commission (the “SEC”) on June 23, 2020. The Offering is expected to close on or about June 26, 2020, subject to satisfaction of customary closing conditions. The Company intends to use net proceeds from this offering for working capital and general corporate purposes, which may include research and development of the Company’s Lumivascular platform products, preclinical and clinical trials and studies, regulatory submissions, expansion of the Company’s sales and marketing organizations and efforts, intellectual property protection and enforcement and capital expenditures. The Company has not yet determined the amount of net proceeds to be used specifically for any particular purpose or the timing of these expenditures. The Company may use a portion of the net proceeds to acquire complementary products, technologies or businesses or to repay principal on the Company’s debt; however, the Company currently has no agreements or commitments to complete any such transactions or to make any such principal repayments and is not involved in negotiations to do so. Accordingly, the Company’s management will have significant discretion and flexibility in applying the net proceeds from the sale of these securities.

 

The Underwriting Agreement contains customary representations, warranties and covenants of the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, and termination and other provisions customary for transactions of this nature. All of the Company’s executive officers and directors have also agreed not to sell or transfer any securities of the Company held by them for a period of 45 days, from June 23, 2020 subject to limited exceptions.
