Item 7.01

Regulation FD Disclosure.

On June 16, 2020, StoneMor Inc. (the “Company”) issued a press release announcing that the Special Committee of its Board of Directors had responded to the unsolicited proposal (the “Proposal”) from Axar Capital Management, LP that it was formed to consider and evaluate. In the Proposal, Axar offered to acquire all of the outstanding shares of common stock of the Company not owned by Axar or its affiliates for $0.67 per share in cash, subject to certain conditions. The Special Committee sent Axar a letter informing it that, after reviewing the Proposal, it had rejected the price proposed by Axar as inadequate. The Special Committee also informed Axar that it would be open to engaging in further discussions. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
